Notice: This agreement is a Business-to-Business (B2B) software service agreement. Use of the UrClimate Tailor platform by companies and corporate customers is subject to these terms. The User who ticks the "I accept the Terms of Use" box during registration shall be deemed to have concluded this agreement electronically within the scope of Articles 1 and 12 of the Turkish Code of Obligations No. 6098 (TCO) and the Law No. 6563 on the Regulation of Electronic Commerce.
1. Parties and Definitions
1.1. Parties

User / Customer: The legal entity (energy company, insurance company, bank, investment company, agriculture/food firm, or similar corporate customer) that registers with the UrClimate Tailor platform and uses the service under a subscription model, together with the natural person user authorized to act on behalf of that legal entity.
1.2. Definitions
- Platform: The UrClimate Tailor physical climate risk monitoring and operational weather forecasting software and all related modules provided through the domain tailor.urclimate.com.
- Subscription: The right to use the Platform for a specific period under a specific plan.
- Pilot Plan: The free testing-phase plan (Test Phase Approval — TAO).
- Site: A physical asset that the Customer company defines on the Platform (wind power plant, solar power plant (GES), production facility, warehouse, location subject to an insurance policy, etc.) — together with geographic coordinates and site-specific threshold definitions.
- Tenant: Isolated data and user space reserved for a single corporate customer.
- User Content: All data entered by the User into the Platform (site definitions, threshold settings, reports, notes, uploaded files).
- WRF: Weather Research and Forecasting model outputs.
- FIRF: Financial Impact of Risk Framework — the module that calculates the financial impact of physical climate risks.
- KVKK: Law No. 6698 (KVKK) on the Protection of Personal Data.
- TCO: Turkish Code of Obligations No. 6098.
- ECL: Law No. 6563 on the Regulation of Electronic Commerce.
2. Subject Matter of the Service
2.1. Scope
UrClimate Tailor is a cloud-based (SaaS) software service that monitors physical climate risks in real time, provides operational weather forecasting, and financializes such risks for asset-investor companies. The service covers the following main capabilities:
- Operational monitoring — WRF-based 72-hour forecast (supported by ECMWF 9km), site-based hourly weather data, workability calendar.
- Real-time alerting — 24/7 lightning monitoring (50 km radius), automatic e-mail notifications upon threshold exceedance.
- Seasonal projection — monthly anomaly up to 6 months ahead (temperature, precipitation, wind, radiation).
- Climate scenarios — 5 hazard scores up to 2100 under SSP2-4.5 and SSP5-8.5 (drought, flood, heatwave, storm, wildfire).
- Financial impact (FIRF) — AAL and NPV calculations under NGFS, IIGCC PCRAM 2.0, IFRS S2 standards, professional DOCX reports.
- Homepage asset map — collective display of all of the company's sites on a single map.
2.2. Nature of the Service
The Platform processes weather forecast/climate model outputs based on the site information and threshold settings entered by the User, and produces reports and alerts. The Service Provider does not guarantee that third-party model outputs (WRF, ECMWF, etc.) will precisely predict future weather events; forecasts are probabilistic in nature and the ultimate responsibility for operational decisions rests with the User.
2.3. Access
The service is provided online 24/7 via an internet connection and a modern web browser (Chrome, Edge, Firefox, Safari — last two versions). A mobile-compatible interface is available; there is no separate mobile application in this version.
3. Subscription and Fees
3.1. Plan Types

3.2. Pilot Plan (Test Phase Approval)
The Pilot plan is free and is offered on the condition that the software is in a test/beta phase. The Pilot user:
- Receives no commitment that the features offered by the Platform will operate fully/uninterruptedly.
- Agrees to provide feedback (survey, interview, bug report).
- May preserve the data created during the Pilot period by upgrading to a paid plan or by exporting it.
- At the end of the Pilot period, the Service Provider reserves the right to freeze the account or direct the user to a paid plan.
3.3. Pricing (When Paid Plans Are Active)
- Prices are announced excluding VAT; VAT is added to the invoice at 20% (the rate is subject to legislative change).
- Monthly or annual payment may be chosen. For annual payment, the discount rate determined by the Service Provider is applied.
- Payment is made by bank transfer/EFT or by the method specified in the agreement.
- A separate special agreement may also be signed for a corporate customer; these Terms of Use are of a framework nature and the provisions of the special agreement are reserved.
3.4. Automatic Renewal and Cancellation
- Unless the User states otherwise, the subscription automatically renews at the end of the term with the same plan and term.
- The User may cancel at least 7 days before the renewal date via the panel or by notifying destek@urclimate.com.
- After cancellation, the service continues until the end of the current term; the fee paid is non-refundable (the provision of Article 10 is reserved).
3.5. Price Change
The Service Provider reserves the right to update its prices. A price increase is notified to the User by e-mail at least 30 days before the renewal date. If the User does not accept the new price, the User has the right not to renew the subscription.
4. Rules of Use
4.1. Account Security
- Each user account is allocated to a single natural person; password sharing is prohibited.
- The User is obligated to set a strong password (at least 8 characters, upper/lower case, digits).
- When multi-factor authentication (MFA) becomes available, its use is strongly recommended.
- In case of suspicion of account compromise, the User shall immediately notify destek@urclimate.com.
4.2. Prohibited Conduct
The User undertakes not to do the following:
- Scrape the Platform using automated scripts (scraping, bots).
- Carry out a denial-of-service (DoS/DDoS) attack against the service or attempt to exceed rate limits.
- Exploit security vulnerabilities; reverse engineer or attempt to extract the source code.
- Gain unauthorized access to another user's account.
- Upload malware, viruses, or harmful code to the Platform.
- Use the Platform for illegal content, content containing insults, or content infringing personal rights.
- Provide services to third parties via the Platform without the written consent of the Service Provider (white-label, resale).
- Resell the Platform's forecast/alert outputs to third parties as a weather forecasting service.
4.3. Fair Use
When the Service Provider detects unreasonable resource consumption (for example, far more API calls, number of sites, or FIRF report requests than the plan provides for), it warns the User; if this is not remedied, it may restrict the account.
5. Data Ownership and Portability
5.1. Data Ownership
- User Content belongs to the User. The Service Provider does not claim ownership over User Content.
- The Service Provider has the processing authority necessary to provide the service (in the capacity of a "data processor" within the meaning of Art. 3 of the KVKK).
- The User warrants that the site information and operational data it enters are lawful and do not infringe the rights of third parties.
- The forecast and model outputs produced by the Service Provider (WRF, seasonal, SSP, FIRF) are made available for the User's use during the subscription period; the intellectual property of these outputs remains with the Service Provider (Article 7.1).
5.2. Right to Export Data
The User may at all times export its own data on the Platform in the following formats:

Export is free of charge and is not technically restricted.
5.3. Account Deletion and Data Retention
- When the subscription ends, the User is granted a 30-day window for data export.
- At the end of 30 days, the data is soft-deleted (becomes inaccessible).
- Within 60 days following the soft-delete (90 days in total), the data can be restored upon request.
- At the end of 90 days, the data is hard-deleted; this is an irreversible operation.
- Legal retention obligations (for example, invoice records — 5 years under Art. 253 of the Tax Procedure Law (VUK)) are an exception to this period.
6. Service Level (SLA)
6.1. Uptime Targets

6.2. Planned Maintenance
- Planned maintenance is announced at least 7 days in advance by e-mail and panel notification.
- Planned maintenance durations are not included in the uptime calculation.
- Maintenance is, as far as possible, scheduled on weekends and outside business hours (TRT 02:00–06:00).
6.3. Incident Response Times (for Standard and Enterprise)

6.4. Damages
In the Standard and Enterprise plans, if the monthly uptime target is not met, a service credit is applied upon the User's request at the following rates:
- Uptime 99.5%–99.9%: 10% credit
- Uptime 95.0%–99.5%: 25% credit
- Uptime <95.0%: 50% credit
The credit is reflected in the next invoice period; no cash refund is made. There is no liability for damages under the Pilot plan.
7. Intellectual Property
7.1. Ownership of the Platform
- The UrClimate Tailor software, source code, design, logos, brand, database schema, WRF calibrations, threshold logic library, FIRF model coefficients, and all documentation belong to Alkazar Teknoloji and are protected by the Law No. 5846 on Intellectual and Artistic Works.
- The User is granted only a non-personal, non-transferable, non-exclusive license to use for the duration of the subscription period.
7.2. User Content
- The site information, thresholds, and notes entered by the User belong to the User (Article 5.1).
- The generated FIRF reports and seasonal report PDF/DOCX outputs are freely available for the User's commercial/corporate use; the User has the right to use them in internal reporting, in presentations to insurers/investors, and in IFRS S2 / TSRS footnotes by citing the source.
7.3. Feedback
The suggestions, bug reports, and feature requests that the User sends to the Service Provider are subject to the Service Provider's unlimited and free right of use to improve the product. The Service Provider evaluates this feedback without any obligation to cite its source.
7.4. Aggregate Data
The Service Provider may create and use aggregate/anonymous statistics (for example, "total number of sites on the platform", "most frequently defined threshold type") in a manner that does not contain personal data and User-specific identifiers.
8. Limitation of Liability
8.1. "As-Is" Principle
To the extent permitted by applicable legislation, the service is provided "AS IS" and "AS AVAILABLE". The Service Provider gives no express or implied warranty as to fitness for a particular purpose, uninterrupted operation, or error-free operation. Weather forecast and climate model outputs are probabilistic and carry no guarantee of predicting actual weather events one-to-one.
8.2. Indirect Damages
In no event shall the Service Provider be liable for indirect damages (loss of profit, loss of business, production stoppage, loss of insurance compensation, loss of reputation, indirect harm arising as a result of data loss).
8.3. Maximum Liability
The Service Provider's total liability towards the User is limited to the total of the subscription fees paid by the User during the 12 (twelve)-month period preceding the event giving rise to the relevant damage. Under the Pilot (free) plan, maximum liability is limited to TRY 1,000.
8.4. Force Majeure
The following situations are deemed force majeure; service interruptions arising in such cases are outside the scope of the SLA and damages:
- Natural disaster (earthquake, flood, fire), war, terrorism, epidemic, strike, lockout.
- DDoS and large-scale cyberattack.
- Failures occurring at third-party infrastructure providers (Supabase, Vercel, Brevo, AWS, DNS, internet backbone).
- Data flow interruptions occurring at third-party model data providers (NCEP/ECMWF).
- Decisions of public authorities (BTK access ban, court decision).
- General electricity/internet outages.
8.5. Exception
This article does not apply to damages arising from the Service Provider's intent or gross negligence (Art. 115 of the TCO).
9. Confidentiality and Data Security
9.1. KVKK Compliance
The Service Provider processes personal data in accordance with the KVKK and the relevant secondary legislation. For details, please refer to the Disclosure Notice and Privacy Policy documents.
9.2. Infrastructure
- Primary server where data is stored: Supabase — Frankfurt (EU) region.
- Processing server: Vercel — EU region.
- E-mail dispatch: Brevo — EU (Paris) and, as backup, Resend — EU (eu-west-1).
- Data transfer: HTTPS/TLS 1.3 (in-transit encryption).
- Data at rest: AES-256 (at-rest encryption).
9.3. Transfer Abroad
The User is aware that, due to the technical infrastructure of the platform, its personal data may be processed on servers in European Union countries. Transfer remains solely within EU borders; no personal data is transferred to the USA or other countries.
9.4. Data Breach Notification
The Service Provider notifies the Personal Data Protection Board within at most 72 hours (Art. 12/5 of the KVKK) from the date it detects a personal data breach and informs the affected Users.
9.5. Security Measures
- Tenant-based data isolation via Row-Level Security (RLS) — a user of one company cannot see another company's sites.
- Encrypted password hashing (bcrypt).
- Regular security patches and dependency scanning.
- Audit log records (access, modification, deletion).
- Backup: daily automatic backup, 30-day retention.
10. Termination
10.1. Termination by the User
- The User may terminate its subscription at any time via the panel.
- Upon the first purchase of paid plans, a 14-day right of withdrawal is granted in order to reasonably test the usefulness; the fee paid within this period is refunded. This right applies only to the first purchase and does not apply to renewals.
- Fees paid in advance for the ongoing term are non-refundable outside the right-of-withdrawal period.
10.2. Termination by the Service Provider
The Service Provider may terminate the agreement immediately or with 30 days' notice in the following cases:
- The User's violation of the prohibited conduct rules in Article 4.
- Delay of the payment obligation by more than 30 days (paid plans).
- Detection of illegal use.
- The Service Provider's decision to fully discontinue the Platform service (announced 180 days in advance).
10.3. After Termination
- The User is provided with a 30-day data export window (the provisions of Article 5.3 apply).
- Termination does not eliminate the User's fee debt that arose before termination.
11. Dispute Resolution and Applicable Law
11.1. Amicable Settlement
When a dispute arises, the parties undertake to first seek an amicable resolution for 30 days. Settlement requests are made in writing (e-mail or KEP).
11.2. Applicable Law
The law of the Republic of Türkiye applies to this agreement.
11.3. Competent Court
If a settlement cannot be reached, the dispute is within the jurisdiction of the Istanbul Central (Çağlayan) Courts and Enforcement Offices.
11.4. Arbitration (Optional)
In special agreements made with Enterprise customers, the parties may, by mutual agreement, decide to resort to arbitration under the rules of ISTAC (Istanbul Arbitration Centre).
11.5. Consumer Law
This agreement is of a B2B nature and the Law No. 6502 on Consumer Protection does not apply.
12. Amendments and Notifications
12.1. Update of Terms
The Service Provider reserves the right to update these Terms of Use. Material changes (liability, fees, data processing) are announced to Users at least 30 days in advance by e-mail and panel notification.
12.2. Right to Reject
If the User does not accept the updated terms, the User may terminate its subscription before they enter into force. Continuing to use the Platform after the effective date means acceptance of the new terms.
12.3. Notification
Notifications made by the Service Provider to the User's registered e-mail address are deemed written notification (Art. 19 of the TCO, Art. 3 of the ECL). The User is responsible for keeping the e-mail address up to date.
13. Miscellaneous Provisions
13.1. Assignment
The User may not assign its rights under this agreement to third parties without the written consent of the Service Provider. The Service Provider may assign the agreement on the same terms in the event of merger/acquisition/affiliation.
13.2. Severability
The invalidity of any provision of this agreement does not affect the validity of the other provisions.
13.3. Waiver
The non-exercise of a right does not mean a waiver of that right.
13.4. Entirety
This agreement, together with the Disclosure Notice, the Explicit Consent Form, and the Privacy Policy, constitutes the entire agreement of the parties.
